1. Status and contact

Modeloop is a pre-incorporation project. No incorporated Modeloop legal entity currently offers services under these terms. These terms intentionally do not publish a personal name, home address or telephone number and do not create a complete public contracting framework.

They govern the public website, waitlist/referral workflow and the Modeloop Control Systems Lab plugin for ChatGPT and Codex. Any desktop or hosted Modeloop product may present additional product terms before use.

2. Eligibility

The services governed by these terms are designed for a general technical audience and are not directed to children. A person who cannot validly form this agreement independently may use them only with the authorisation required by local law. A person joining the waitlist confirms that the submitted contact information is their own; the waitlist must not be used to submit another person’s contact details.

3. What the plugin does

The plugin accepts complete Modeloop MDL text and can:

1. parse and validate it and return a canonical SSP representation with structured diagnostics; or
2. run a bounded, fixed-step model-in-the-loop simulation and return numeric signal traces.

It does not connect to hardware, flash firmware, execute arbitrary native programs, provide real-time or hardware-in-the-loop verification, certify a controller, or establish that a model or implementation is safe or suitable for a particular product.

The tools are stateless from the user’s perspective and do not create a persistent Modeloop project. Input size, block count, profile count, simulation steps, returned samples, concurrency and execution time are bounded. A request outside those limits may be rejected or return a structured error.

4. User content and results

The user retains rights in MDL text and other content they submit. The user grants Modeloop only the limited permission needed to process that content, perform the requested operation, protect the service and return the result. The user must have the right to submit the content.

Modeloop does not claim ownership of the canonical model, diagnostics or traces returned for the user’s model. Rights in Modeloop software, formats, branding, documentation and pre-existing technology remain with Modeloop or its licensors.

Do not submit personal data, credentials, regulated data or confidential third-party material: those data are not needed for the supported workflow. The privacy policy at https://www.modeloop.app/privacy explains processing and retention.

5. Engineering use and independent validation

Models, diagnostics and simulation traces are engineering aids, not professional safety certification. The user remains responsible for requirements, units, parameters, numerical assumptions, test coverage, generated implementation, integration and operation of any physical system. Before production, safety-related or hardware use, results must be independently reviewed and validated with methods appropriate to the application and applicable standards.

6. Waitlist and referral workflow

Joining the waitlist is free and does not guarantee access, a release date, pricing or a particular product feature. A member may receive a referral code and on-site progress toward early access. Referrals must be genuine and voluntary. Self-referrals, fabricated or disposable identities, automation, harassment and spam are prohibited. Modeloop may disregard abusive referrals.

Referral progress has no cash value and is not transferable. Modeloop may modify or end the pre-launch referral workflow, but will not retroactively remove an earned early-access position without a legitimate reason. Automatic waitlist emails are currently paused; future unrelated marketing requires a separate opt-in.

7. Acceptable use

The user must not:

• violate law or another person’s rights;
• probe, disrupt, overload or evade security or resource limits;
• use the plugin to execute arbitrary code, distribute malware or attack a system;
• submit secrets or restricted data that the tool does not need;
• misrepresent a simulation result as certification or Modeloop approval; or
• use automated means to manipulate waitlist or referral records.

Modeloop may limit or suspend access where reasonably necessary to protect the service, users or legal compliance.

8. Availability and changes

The website and plugin are pre-release services. They may contain errors and may be changed, interrupted or withdrawn. Modeloop will use reasonable care in operating the public service but does not promise uninterrupted availability or that every valid engineering intent can be expressed or simulated.

Tool names, schemas and reviewed metadata may be updated through the OpenAI plugin-review process. Changes that materially affect these terms will be dated and, where required, notified before taking effect.

The public plugin and waitlist do not currently charge a price. If Modeloop later offers a paid digital service, the applicable price, duration, renewal, termination, technical compatibility, statutory conformity remedies and any withdrawal right or requested early performance will be presented before the order. These terms do not obtain advance consent to a future paid service.

9. Statutory rights, warranty and liability

Nothing in these terms excludes or limits a right, remedy, warranty or liability that applicable law does not allow Modeloop to exclude or limit. In particular, nothing excludes liability for fraud, wilful misconduct, gross negligence, death or personal injury where caused by Modeloop and non-excludable by law, or mandatory consumer rights.

Within those limits, pre-release outputs are provided as engineering aids and Modeloop does not warrant that they are complete, error-free, certified or fit for a safety-critical or production purpose. The user’s obligation to perform independent engineering validation does not transfer responsibility for defects that mandatory law assigns to Modeloop.

For a consumer, liability and remedies remain those provided by mandatory consumer law. Any additional limitation for business users must be agreed in applicable commercial terms; these public terms do not create a zero-liability cap merely because the plugin is free.

10. Termination and user data

A user may stop using the plugin at any time and may ask to leave the waitlist or exercise data rights through the contacts above. Modeloop may suspend or end access for a material breach, security risk, legal requirement or withdrawal of the pre-release service. Where reasonably possible and legally permitted, Modeloop will explain the reason. Suspension does not remove accrued mandatory rights or the obligations that by nature survive termination.

11. Third-party platforms

ChatGPT and Codex are provided by OpenAI under the terms applicable to the user’s selected OpenAI service. Authentication providers and external sharing destinations are governed by their own terms. Modeloop is responsible for its plugin and MCP service, not for a third-party platform outside Modeloop’s control.

12. Governing law and disputes

These terms are governed by Italian law, without depriving a consumer of mandatory protections of the country in which they habitually reside. A consumer may bring proceedings in the court made available by mandatory consumer law, including their consumer forum where applicable. The exclusive court of the provider is not imposed on consumers.

Before litigation, either party may contact info@modeloop.app to seek an informal resolution. This does not restrict urgent remedies or mandatory rights.

13. General

If a clause is invalid, the remainder continues to apply to the extent allowed by law. A failure to enforce a clause once is not a waiver. Modeloop may not transfer this agreement in a way that reduces mandatory consumer protections.

Regolano sito pubblico, waitlist/referral e plugin Modeloop Control Systems Lab per ChatGPT e Codex. Prodotti desktop o hosted possono presentare termini aggiuntivi prima dell’uso.

2. Utenti e servizio

Il plugin è per un pubblico tecnico generale e non è rivolto ai minori. Chi non può accettare autonomamente i termini deve avere l’autorizzazione richiesta dalla legge applicabile. Chi entra in waitlist conferma che i dati di contatto inseriti sono i propri; la waitlist non può essere usata per inserire i dati di contatto di un’altra persona.

Il plugin valida testo Modeloop MDL e restituisce SSP canonico e diagnostica, oppure esegue una simulazione MIL fixed-step limitata e restituisce tracce numeriche. Non collega hardware, non esegue codice nativo arbitrario, non fa HIL, non certifica controllori e non prova la sicurezza di un prodotto.

Le chiamate non creano un progetto Modeloop persistente e sono soggette a limiti di dimensione, blocchi, profili, step, campioni, concorrenza e durata.

3. Contenuti e validazione tecnica

L’utente mantiene i diritti sul contenuto inviato e concede solo il permesso necessario a svolgere la richiesta, proteggere il servizio e restituire il risultato. Deve avere il diritto di inviarlo. Modeloop mantiene i diritti su software, formati, marchi, documentazione e tecnologia preesistente.

Non inviare dati personali, credenziali, dati regolamentati o materiale confidenziale di terzi. L’informativa è su https://www.modeloop.app/privacy.

Modelli, diagnostica e simulazioni sono ausili ingegneristici, non certificazioni di sicurezza. L’utente resta responsabile di requisiti, unità, parametri, assunzioni numeriche, test, implementazione, integrazione e uso fisico. Prima di produzione, hardware o applicazioni safety-related deve svolgere una validazione indipendente adeguata al caso e alle norme applicabili.

4. Waitlist, referral e uso accettabile

La waitlist è gratuita e non garantisce accesso, data, prezzo o funzionalità. Il referral può dare una posizione di early access senza valore monetario. Sono vietati auto-referral, identità fittizie, automazione, molestie e spam. Le segnalazioni abusive possono essere ignorate da Modeloop. Modeloop può modificare o terminare il programma referral pre-lancio, ma non rimuoverà retroattivamente una posizione di early access già maturata senza un motivo legittimo. Le email automatiche sono sospese; marketing futuro richiederà opt-in separato.

È vietato violare legge o diritti, aggirare sicurezza o limiti, sovraccaricare il servizio, inviare segreti non necessari, distribuire malware o presentare un risultato come certificazione Modeloop. L’accesso può essere limitato quando necessario per sicurezza, utenti o conformità.

5. Disponibilità, garanzie e responsabilità

Sito e plugin sono pre-release e possono cambiare, interrompersi o contenere errori. Modeloop usa ragionevole cura ma non promette disponibilità continua né che ogni intento ingegneristico sia rappresentabile.

Nomi degli strumenti, schemi e metadati sottoposti a revisione possono essere aggiornati attraverso il processo di revisione dei plugin OpenAI.

Plugin pubblico e waitlist oggi non prevedono un prezzo. Prima di un futuro servizio digitale a pagamento saranno indicati prezzo, durata, rinnovo, cessazione, compatibilità tecnica, rimedi di conformità e l’eventuale diritto di recesso o richiesta di esecuzione anticipata. Questi termini non valgono come consenso anticipato a un futuro servizio a pagamento.

Nulla limita diritti, rimedi, garanzie o responsabilità inderogabili. In particolare non sono escluse frode, dolo, colpa grave, morte o lesioni quando imputabili a Modeloop e non limitabili, né i diritti obbligatori dei consumatori. Nei limiti consentiti, gli output non sono garantiti come completi, privi di errori, certificati o idonei a uso safety-critical/production. L’obbligo di validazione dell’utente non sposta responsabilità che la legge assegna a Modeloop. Per i consumatori valgono responsabilità e rimedi inderogabili; non è previsto un tetto zero solo perché il plugin è gratuito.

L’utente può smettere di usare il plugin in ogni momento e chiedere di lasciare la waitlist o esercitare i diritti sui dati. Modeloop può sospendere o cessare l’accesso per violazione sostanziale, rischio di sicurezza, obbligo di legge o ritiro del servizio pre-release e, quando ragionevolmente possibile e lecito, ne comunica il motivo. Restano salvi i diritti inderogabili e le clausole che per natura sopravvivono.

6. Piattaforme terze, legge e foro

ChatGPT e Codex sono forniti da OpenAI secondo i termini del servizio scelto. Modeloop risponde del proprio plugin/MCP, non delle piattaforme fuori dal suo controllo. I provider di autenticazione e le destinazioni esterne scelte dall’utente sono disciplinati anche dai rispettivi termini e informative.

Si applica la legge italiana senza privare il consumatore delle tutele inderogabili del paese di residenza abituale. Il consumatore può adire il foro previsto dalla legge, incluso il proprio foro quando applicabile. Prima di una controversia è possibile contattare info@modeloop.app, senza limitare rimedi urgenti o diritti inderogabili.

Se una clausola è invalida, le altre restano efficaci nei limiti di legge. La mancata applicazione occasionale di una clausola non costituisce rinuncia. Modeloop non può trasferire questo accordo in modo da ridurre le tutele inderogabili dei consumatori. Le modifiche sostanziali saranno datate e comunicate quando richiesto.
